The "Bulgarian Wind Project" consists of the two Wind Farm Electricity Production Plants with a total capacity of 40 MW (20 MW each) in Dobrin, Bulgaria.

There is a signed contract with the purchaser, namely Alpic, Switzerland on a 10-year, (plus 10) contract. As a result, the proceeds from the sale of energy will be in euros.

There are two (2) S.A.s (SOCIETES ANONYMES) owning the licenses for the construction of 400 MW wind parks (can be extended to 800 MW).  According to an evaluation by LVT Capital Advisors, the estimated market value of the project, is approx. 45 mil € at the present stage  The parks are ready to build with all necessary licenses in place and all requirements met. The EPC contractor will be one of the following companies: Siemens, Sumec, and Inter RAO.

At this stage, the licenses are evaluated at a 33% discount at €40.000.000 million (initial price €60.000.000) on the aggregate.

The Owners have agreed with FN Development the following:

  1. FN will build the 20 MW park at no additional cost at an effective cost of €850 K per MW (the bank will fund the project on the basis of 1,150 K per MW), after the payment of 50% of the listed company’s shares.

  2. After the construction, FN contributes the wind park to the listed company at a premium at the price of €1,6 MN per MW in exchange for shares. Accordingly, the notional profit is €15 MN {(1,600,000-850,000) *20}.

  3. To be noted that at the end of this phase the company will be dually listed in Bulgaria and Frankfurt.

  4. Alternatively, the investor can keep the already constructed 20 MW by paying an agreed fee and returning the shares of the listed company to the owners
